These Terms of Service ("Terms") govern your access to and use of the VideoSync website, application, and related services (collectively, the "Service") operated by VideoSync ("VideoSync," "we," "us," or "our"). By creating an account, starting a free trial, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of the Service

VideoSync is a subscription-based software service that helps you automatically transfer Zoom cloud recordings to connected third-party platforms, including Google Drive, YouTube, and Vimeo, according to your account settings. Features, supported integrations, and availability may change over time.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding contract to use the Service. By using VideoSync, you represent that you meet these requirements and that any payment method you provide is authorized for use.

3. Accounts and Authentication

To use VideoSync, you must create an account using a valid email address. You agree to:

  • Provide accurate and current account information
  • Keep your login credentials secure and notify us of unauthorized access
  • Be responsible for all activity under your account
  • Connect only third-party accounts you are authorized to use

We use passwordless email authentication (one-time login codes). You are responsible for securing access to the email address associated with your account.

4. Subscriptions, Free Trial, and Billing

Access to paid features requires an active subscription. VideoSync currently offers the following plans:

  • Monthly: $5 USD per month, billed monthly
  • Annual: $48 USD per year (equivalent to $4 USD per month), billed annually

Free trial. New subscribers receive a 14-day free trial. A valid payment method is required before the trial begins. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged at the end of the trial period at the rate for the plan you selected (monthly or annual).

Automatic renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) until canceled. You authorize us and our payment processor, Stripe, to charge your payment method on a recurring basis.

Payment processing. Payments are processed by Stripe. We do not store full payment card numbers on our servers. By subscribing, you also agree to Stripe's applicable terms and privacy practices for payment processing.

Billing portal. You may view your subscription, update payment details, change plans (where available), or cancel through the Stripe Customer Billing Portal accessible from your VideoSync dashboard.

Price changes. We may change subscription prices from time to time. If a price change applies to your subscription, we will provide advance notice as required by applicable law. Continued use of the Service after the effective date of a price change constitutes acceptance of the new price, unless you cancel before the change takes effect.

Taxes. Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes associated with your purchase, other than taxes based on our net income.

5. Grace Period for Existing Users

If you were using VideoSync before paid subscriptions were introduced, we may grant a limited grace period during which you retain access without an active paid subscription. Grace-period access is temporary, may be modified or ended at any time, and does not create a permanent free entitlement. After your grace period ends, a paid subscription is required to continue using the Service.

6. Cancellation, Access After Cancellation, and Refunds

Cancellation. You may cancel your subscription at any time through the billing portal. Cancellation stops future renewals but generally does not entitle you to a refund for fees already paid.

Access after cancellation. If you cancel, you typically retain access through the end of your current paid billing period (or trial period, if canceled during trial before being charged). After that period ends, your access to paid features may be revoked.

Failed payments. If a payment fails, we may retry billing through Stripe. During certain failed-payment states, we may continue to provide access while billing is retried, but we may suspend or terminate access if payment cannot be collected.

Refunds. Except where required by applicable law, all fees are non-refundable, including for partial billing periods, unused time, or accounts terminated for violation of these Terms. If you believe you were charged in error, contact support@videosync.cloud.

7. Third-Party Services and Integrations

The Service relies on third-party platforms and providers, including Zoom, Google (Drive and YouTube), Vimeo, Stripe, and email delivery providers. Your use of those services is subject to their separate terms and policies. We are not responsible for third-party outages, API changes, account restrictions, storage limits, or policy enforcement by those providers.

By connecting an integration, you authorize VideoSync to access and process information from that platform as needed to provide the Service (for example, to receive Zoom recording notifications and upload files to destinations you enable).

8. Acceptable Use

You agree not to:

  • Use the Service for unlawful, infringing, or abusive purposes
  • Upload, transfer, or store content you do not have the right to use or distribute
  • Attempt to bypass access controls, security measures, or subscription requirements
  • Reverse engineer, scrape, or interfere with the operation of the Service except as permitted by law
  • Resell, sublicense, or provide unauthorized access to the Service
  • Use the Service in a manner that could harm VideoSync, other users, or third-party platforms

We may suspend or terminate accounts that violate these rules or that create risk for the Service, other users, or integrated platforms.

9. Your Content and Recordings

You retain ownership of your Zoom recordings and other content processed through the Service. You grant VideoSync a limited license to access, copy, transmit, and store your content solely as necessary to operate the Service (for example, downloading a recording from Zoom and uploading it to Google Drive on your behalf).

You are solely responsible for the content you process through VideoSync, including compliance with privacy laws, consent requirements, workplace policies, and the terms of Zoom and destination platforms.

10. Intellectual Property

VideoSync and its software, branding, website content, and documentation are owned by VideoSync or its licensors and are protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding except as needed to use the Service as intended.

11. Service Availability and Changes

We strive to keep VideoSync available and reliable, but the Service is provided on an "as available" basis. We may modify, suspend, or discontinue features with or without notice. Scheduled or emergency maintenance, third-party failures, and events outside our reasonable control may cause interruptions.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT RECORDINGS WILL ALWAYS UPLOAD SUCCESSFULLY OR WITHIN A SPECIFIC TIME.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIDEOSYNC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO VIDEOSYNC FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow limitations on liability, so some of the above may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless VideoSync from and against claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your connected accounts, or your violation of these Terms or applicable law.

15. Termination

You may stop using the Service at any time and cancel your subscription as described above. We may suspend or terminate your access immediately if you breach these Terms, if required by law, if a third-party integration is revoked, or if continued provision of the Service creates risk or is no longer commercially reasonable.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (including payment obligations accrued before termination, disclaimers, limitations of liability, and indemnification) will survive.

16. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on our website, by email, or through the Service. Your continued use of VideoSync after the effective date of updated Terms constitutes acceptance, except where applicable law requires otherwise.

18. Governing Law and Disputes

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country or state of residence provide otherwise.

Any dispute arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts of competent jurisdiction in the United States, and you consent to the personal jurisdiction of such courts, unless applicable law requires a different forum.
